Towne South Homeowners Association Monthly Meeting - August 16, 2022

Meeting begins at 7:00 pm at Prince of Peace & Zoom

This meeting was held only as an open meeting. There was no executive session at the meeting held in August of 2022 due to TSHA having only one remaining board member.

JULY REPORTING

7/31/22

Secretary/Treasurer and Administrative Assistant Richard Tucker resigns via in-person and written communication to Trustee, Jackie Tebbe.

AUGUST REPORTING

8/1/22

Vice President Judy Clobes resigns via email to Trustee, Jackie Tebbe.

Jackie Tebbe begins the meeting, thanks those in attendance, and makes note that meetings will be in-person and via Zoom in the future.

An announcement that we are down to one Trustee, and there is a need to fill Board of Governor positions.

Indenture states there should be Five(5) Board of Governors for Towne South Homeowners Association.

Jackie Tebbe summarizes that we have 715 homes in the HOA, this is a large subdivision and requires a lot of time and attention.  Again, asks homeowners to consider.

Jackie Tebbe discusses the potential for Committees if residents do not want to have a Board position.

Potential Committees include:

  • Welcome Committee 

  • Indenture Committee

  • Maintenance / Improvement Committee 

  • Social / Outreach Committee

Jackie Tebbe reports on expenditures and progress since becoming sole Trustee:

New Website launched! Website: Townesouth.com

  • Comments and Suggestions are welcome for the continued improvement of the new website.

  • Reduced telephone bill by 50%.

  • Discussed plan for future communication that would not require postage other than when Indenture requires it.

  • Current expenses for lawn care, tree trimming, and maintenance are high.

  • Future plans to reduce payment of email service.

  • No longer paying $400/month for an Administrative Assistant.

Jackie Tebbe opens up the meeting for questions/comments.

Comment #1: Indentures state that there has to be a selection process by Annual Meeting or Special Meeting to elect Board members. She does not think that people can just be put on the Board.

Response: There is no intention of the sole Trustee to just select people for the Board positions. The purpose is to inform all 715 homeowners that there are positions open to consider. Maybe we hold off until Annual Meeting to vote board members in, or perhaps we need legal advice on how to proceed.

Comment #2: Thanks Jackie Tebbe for taking it on, getting it moving, and bringing it back to the 21st Century.

Comment #3: How much more is this going to cost us per year?

Response: Currently the HOA Dues are $57.50. Until the Indenture changes we can only review the dues in years that end in “0” or “5” and only up to 15%.  The problem with $57.50 is that it barely covers the budget. 

Comment #3a: He does not think the dues will stay $57.50.

Response: Correct. 

Comment #4: Is Jackie Tebbe in business with other subdivisions?

Response: No. 

Comment #5: There was a general conversation between present lot owners on what happened to the previous board, common ground work, compliance, St. Louis County standards, etc.

Comment #6: Before we can continue to have conversations about what needs to be done we need to establish a full Board. We need active members both new and old to the neighborhood to help. We all first need to work to get people involved. 

Comment #7: Where did Jackie Tebbe get the authority to take over?

Response: Jackie Tebbe was elected as Trustee by the previous Board of Governors in March 2022.  She is now the only Trustee / Board Member, therefore she is handling all of the HOA matters at this time.

Comment #8: Do we still maintain the address TSHA previously had at Lamplighter?

Response: No, we only have a P.O. Box now, located at the UPS Store.

Comment #9: How many Committee people will there be and how much will they get paid?

Response: It is unknown how many Committee people there will be.  This would be a volunteer position for the benefit of the neighborhood.

Comment #10: Is it in the Trustee’s interest to put lighting throughout the subdivision?

Response: Although that would be a great thing to do, there are no funds to do that. The cost is too great to even discuss.

Comment #11: Will the financials be on the website?

Response: Yes, as soon as they become available to the Trustee they will appear on the website.

Comment #12: Who is the accountant for TSHA?

Response: Bender & Co.

Comment #13: Has Jackie Tebbe ever run a subdivision before?

Response: No. 

Comment #14: General discussion occurs that Jackie Tebbe is not trying to “run” the subdivision, she is trying to get homeowners to run the subdivision. It is incumbent on the homeowners to run it.  We want the community of the TSHA to run it working together, not as a few people in charge.

Comment #15: Thanks Jackie Tebbe for stepping up in the current situation.

Comment #16: Someone else should do the Administrative Assistant role, it is too much to have a Board Member also be an Administrative Assistant too. Additionally, this role should be a volunteer role, as is on other types of boards. We need people to volunteer so we can continue to work on these things, nothing can change until we get people to participate and volunteer.

Response: Jackie Tebbe seconds the comment regarding AA being separate from a Board position.  Also comments that although Indenture states we are supposed to have 5 Board of Governors, it might be a little on the small side.  1 Board Member per 100 lots seems more realistic.  Jackie Tebbe also discusses the husband/wife Board Member issue, and a general conversion takes place regarding the 1 vote per lot clause.

Comment #17: How do the indentures read regarding voting?

Response: There is 1 vote per lot for homeowners.

Comment #17a: For something to pass, what would be the percentage? What percentage of lots are owned by leasing or rental companies? 

Response: It would take a ⅔ passing vote by the entire 715 lot owners to pass a vote. There are appx. 40 rentals (Jackie may have to double check this response).

Comment #18: What do the Indentures say is the process of changing the Indentures?

Response: The Indentures are publically available at www.townesouth.com. The Indentures state that it needs to pass with a ⅔ vote.

Comment #19: It would be nice if the Indentures were written in a more common user-friendly version. 


Comment #20: A new Board Member would have to be voted on.  The previous Board of Governors voted Jackie Tebbe in.
